Terms and Conditions

Scope of the Contract

The following terms and conditions govern the conclusion of a contract between the Translation Agency and the Customer. The Customer sends a text document to the Translation Agency, which shall translate the document from the source language to the target language according to the following conditions. By placing the translation order, the Customer accepts the terms and conditions.

Conclusion of the Contract

Upon receipt of the document in the source language by the Translation Agency, a free quote will be sent to the Customer containing the translation price and the time of the delivery. The Customer then decides whether it wants to have its order performed. The Contract is concluded when the Customer confirms the placement of the translation order in writing by post or e-mail.

Obligations of the Customer and the Translation Agency

  1. The Translation Agency is obliged to perform the translation order duly and in timely manner, not adding anything to or omitting anything from the translation. Any problems arising with the translation, delay in delivery (e.g. due to illness of the translator or the editors, force majeure or similar) or necessary changes shall be discussed with the Customer.
  2. The Customer agrees to pay the translation fees within the stipulated time upon receipt of the invoice. Payment is due upon receipt of invoice by bank transfer to the specified bank account or by cheque. Delays in payment shall be communicated to the Translation Agency immediately. Translated documents remain the property of the Translation Agency until the receipt of the translation fees.
  3. Until the full payment of the purchase price, the exclusive rights of use for the translation shall remain with the Translation Agency, unless the rights of use are transferred to the Customer explicitly before payment of the full purchase price (e.g., in case of payment in instalments) in writing

Warranty/Complaints

The Translation Agency guarantees to the Customer to deliver the texts free of factual and grammatical errors. The Customer is obliged to check the sent texts for potential factual or grammatical errors. The errors shall be notified to the Translation Agency immediately upon discovery, but not later than 14 days after receipt of the texts.  In case of the well-justified complaints, the texts shall be corrected by the Translation Agency accordingly free of charge. The Customer may, if desired, waive this correction or make it on its own in return for a compensation. The Customer shall have no right for free correction if the corresponding texts or their parts were obviously processed by the Customer after receipt of the texts and were altered in their original form. In case of unsuccessful correction, the Customer is entitled to withdraw from the contract. Should a new complaint arise, which differs from the original complaint, it is not regarded as an unsuccessful correction and shall not justify withdrawal from the contract. The right for free correction or withdrawal from the contract expires, unless a well-justified complaint is brought within 14 days of receipt of the text.

Prices

When signing a contract, a price for the translation is agreed and is payable upon invoicing within the agreed period. For orders with a total order price of less than Euro 50.00, a postage fee of 4.50 Euro is applied in case of postal delivery.

Liability/Disclaimer

The Translation Agency is liable in carrying out its activities only in case of gross negligence and intent. Liability is limited to the contract value. Any further liability for damages is excluded. . .

Copyright

The Customer is entitled to use the delivered translation for its purposes, to reproduce it or disclose to third parties at its own discretion. The Customer confirms that by using the document in the original language it has not breached any rights of use or copyrights of the third parties.

Withdrawal

The Customer can withdraw from the contract within 5 business days after placing the order. If the Customer withdraws from the contract, it will be invoiced for the translated material, which was translated prior to withdrawal, depending on the size and number of previously translated words in the document in the source language. The statutory right of withdrawal and statutory warranty claims of the Customer shall not be affected thereby.

Data protection

The Translation Agency shall treat personal information of the Customer, all documents sent by the Customer, as well as translations of these documents, as confidential and not disclose them to the third parties. Upon dispatch of the documents by the translation agency, the confidentiality obligation shall be assigned to the post or to a shipping company. The Translation Agency shall not be liable for any damages sustained upon dispatch. In case of sending electronic documents, no 100% guarantee of confidentiality can be provided by the Translation Agency.

Final Provisions

Should any part of these Terms and Conditions be invalid, the validity of the remaining provisions shall not be affected thereby. The contractual relationship between the Translation Agency and all customers is governed by the German law, excluding the cases governed by the international sales law. The exclusive place of jurisdiction for all disputes arising from this contract is Coburg/Bavaria, Germany.
